I think XP has bridging.  Add that to something like Tiny or ISA and that could do what you want.

In Linux, you're describing an invisible bridging firewall (ala bridge.sourceforge.net)  I'm not aware of a Windows equivalent.

Try google...  There's also hardware you could buy.  If you're really desparate, try the Linux version.  The tutorials are good - they got me going with my first 'real' Linux box.
